# Getting Started

Getting started with AllDrafts, legal document editing tools with automatic formatting, a massive clause library, smart redaction, and insanely easy templates.

## Start with a Template

AllDrafts accelerates your legal drafting and helps reduce errors by making it easier to edit and review contracts, pleadings, motion, and more.

You can use AllDrafts completely in the cloud, and generate clean PDF and Word documents from there. Or you can use the AllDrafts Add-in for Microsoft Word to get assistance inside existing documents.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FMUbNMfv3cE6aHsVlPXRM%2Fimage.png?alt=media&amp;token=81f1eb8f-19da-47c6-934a-eb7839d28ad7" alt=""><figcaption><p>Choose where you want to open the template.</p></figcaption></figure>

Either way, a template is often a great starting point. AllDrafts has a [library of document templates](https://alldrafts.com/example-contracts/templates) you can use as the basis for a new document. Or use the powerful React facts / PII tool (on the Tools menu in the [cloud editor](/alldrafts-documentation/getting-started-cloud-editor)) to turn any existing document into a smart [template](/alldrafts-documentation/templates).

## Using the Microsoft Word Add-in

Every starts from the Home tab in the the AllDrafts Add-in.

### Find a Template

Start here to create a new legal document from a clean base a great stylesheet. This button opens a new window where you can browse available templates; choose **Open in Word Online** or **Open in Word Desktop** as you prefer to download and open the template as a new document.

### Edit Aids / Redaction

The tools on this tab help manage styles in your document to speed editing and reduce errors.

#### \[To-Do]

These buttons let you toggle the ToDo character style on and off for all the text in \[square brackets]. **Highligh to-dos** applies the ToDo character style (a purple tinted background) to all the bracketed text. This is helps you see optional text, unresolved choices, and other 'fix before we're done' notations in your document. **Clear highlights** will remove all the ToDo character styles.

#### Instructions

You can use the "AllDrafts Team Instruction" style to put a blue border around notes to draft and instructions on template use. (This style is used for instructions in AllDrafts premium templates as well.) The **Show instructions** and **Hide instructions** buttons quickly toggle the visibility of these styled paragraphs without deleting them. When you're ready to deliver a final document, or no longer need the drafting notes, you can use **Delete instructions** from the drop-down arrow on Hide instructions to completely remove all the instruction paragraphs.

### Drafting Assistant

Use AI to draft contract outlines or a specific clause, or (*coming soon*) run a smart search through your clause database for your own language. The drop-down prompt selector is a convenient way to start your prompt, which you can complete to address your specific needs.

AllDrafts uses well-known industry standard AI models with appropriate privacy policies, but enhances them by redacting facts and personal information in your document before sending context to the AI models, and then re-inserting those facts and personal information into the content returned from AI. AllDrafts is also using its knowledge of legal document structure to both inform the context for AI prompts as well as to structure and format the results.

### Document Overview

AllDrafts can scan and index your legal document for defined terms and facts and personal information. This info is updated frequently, but you can also use the two-arrows-circle icon to force a refresh of the analysis.

### Defined Terms

From the list of defined terms you can see how many times a term was used, be warned of duplicate or missing definitions, jump directly to a definition (with the arrow icon on the right), or perform a smart renaming of a defined term with a redline preview of every change before it's done.

Use the three-dots icon to see the options for a defined term:

**Apply style...** Will color every instance of the defined term in the document.

**Remove style...** Will remove the coloring and character style from all instances of this defined term.

**Create bookmark** will create a Word bookmark for the definitoon of the defined term and turn every instance of the term into a cross-reference back to the definition.

**Remove bookmark** cleans up and removes the bookmarks and cross-references for this term.

**Rename...** lets you rename the defined term using a smart search that distinguishes references to a defined term from overlapping instances of that word, and lets you preview (and even reject) all the changes in one view.

### Facts / PII

A quick summary of the dates, names, money amounts, etc. in your document. This is a helpful list for review as well as navigation, and the **Change fact...** option on the drop-down menu lets you do a smart replacement or reformatting of a fact — for example changing a number from digits-only to words and digits, or updating a words-and-digits money amount correctly from one number.

### Stats

Get a quick overview of your document with both simple stats (number of words, sentences, etc.) as well as AllDrafts' unique scores for archaism, legalese, Latinisms, and complexity.

# Getting Started - Cloud Editor

Getting started with AllDrafts, a cloud-based editor designed specifically for contracts, with automatic formatting, a massive clause library, smart redaction, and insanely easy templates.

## Getting Around

Once you've signed into AllDrafts, the folder icon in the light-blue square in the upper left of every page is your link to the folder view, where you can see and search all your documents.

AllDrafts saves everything, automatically. You do not need to worry about explicitly saving before clicking a link or navigating to another page or view.

AllDrafts support double-clicking (to open a document from the folder view) and right-clicking (for context menus with relevant commands) throughout the application.

## Starting from an Existing Document

From the folder view you can search your existing documents, browser your document folder, and examine the Community folder for model documents from AllDrafts and AllDrafts users. If the existing document you want to use is a template, just double-click it and it will open as a new document based on that template.

(You never have to worry about accidentally editing the template itself; templates can only be opened for editing by using their 'Edit template' link.)

If you would like to start from an existing document that is not a template, use the Copy to New Document command shown above the preview on the right, or on the right-click menu from the document in folder view.

{% embed url="<https://youtu.be/DkSeYIy1Hsw>" %}

## Importing from Word or Elsewhere

At this time, the highest quality import (preserving the most data and document structure) comes from copying and pasting a document. If you would like to import a Word document, we recommend opening a new empty document in AllDrafts, then copying the entire Word document to the clipboard (Ctrl+A, Ctrl+C on Windows, or Cmd+A, Cmd+C on Mac) and then pasting it as the entire document in AllDrafts (Ctrl+A, Ctrl+V).

{% embed url="<https://youtu.be/h66AWA0SSX8>" %}

## Creating a New Document

From the folder view, use the 'New' button at the top of the window to create a new document. You'll be given the opportunity to name the document, and to see (and change) the folder it will be stored in.

You can always accept the defaults and change these later; just click the New button that appears below these options.&#x20;

One reason to give the document a title right here, though, is that AllDrafts will search the document templates available to you for templates with similar titles. If you decide you'd like to start from one of these templates, just double-click it, and you'll create a new document based on that template.

# AI Drafting Assistant

Invoke the AI Drafting Assistant at any time with the AI button on the toolbar, from **Tools > Drafting Assistant**, or by pressing Ctrl+\<Space>.

When you invoke the Drafting Assistant with text selected, it offers options for working on the selected text.

Any proposed changes to the selected text are presented in a popup. You can toggle between seeing the proposed new text or seeing a redline of the differences between your existing text and the proposed new text. You can choose to **Accept**, **Discard**, or **Try again** (to have the AI run the same command again for different results).

When there is no selection the Drafting Assistant will offers ideas for new content, adapted to the present context.

* In an empty document it will suggest drafting an outline.
* When the cursor is on an outline point it will suggest drafting points for a clause.
  * These will be returned as \[to do] text. You can right-click to delete a whole point in a single operation, or simply edit the suggestions with your mouse or keyboard.
* When the cursor is in a list of \[to do] points, it will suggest drafting the text of a clause.

{% embed url="<https://www.youtube.com/watch?v=vj3IGW3TKhk>" %}

## Editing a Suggestion Redline

When the Drafting Assistant suggests new text you can choose to view it alone or as a redline against the existing text. In the redline view struck-out red text represents what is already in the document, and underlined blue text suggested changes.&#x20;

You can pick and choose individual changes by clicking on them to reject them. You will see the redline adapt immediately to reflect your rejection of a suggested deletion or insertion. This gives you complete control over the AI suggestions; you do not have to accept or reject the suggestions as a whole.

# Auto-Numbering

How AllDrafts auto-numbers paragraphs, clauses, inline tabulations, etc.

{% embed url="<https://youtu.be/tcZtE32jxnY>" %}

## Numbering Overview

The easiest way to handle contract numbering in AllDrafts is to insert an auto-number anywhere you need a paragraph or tabulation (a clause within a paragraph) numbered. You can insert an auto-number from the Insert menu, or by typing a # character followed by a space.

AllDrafts will automatically insert the contextually appropriate number and keep it up to date as text is added or deleted around it, or if indent levels change, and will also manage cross-references to it.

Each numbering style has nine levels, and specifies a different number rendering at each level.

When you move the mouse over an auto-number it is highlighted, along with all the other auto-numbers in that particular sequence (numbers at the same level, until interrupted by a level change). This helps you quickly check to see if a number is hard-coded or an auto-number.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2F0KB1Rlt2IuQGAcd65Ian%2Fimage.png?alt=media&amp;token=b415b04b-928d-4f68-b10a-9b4c7e8a8b4e" alt=""><figcaption><p>An example of auto-numbering, showing two sequences (Recitals and Document) that each start at a value of one, rendered A in Recitals and I in Articles, and with a single explicit override at Section 1.1(x), where the numbering value was specifically set to x rather than d, which would have been the default next value in the sequence at this level.</p></figcaption></figure>

## Levels

There are nine numbering levels in a numbering style.&#x20;

* Note: The first level is special, and is only used if a contract is split into Articles with headers in the form "Article \<auto-number>".

Paragraphs take their level from their indent. You can use the toolbar buttons ![](https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FyPo8pTyzourvMzV9thaU%2Fimage.png?alt=media\&token=a38e50e9-87fe-49f7-ab8c-3a85085f6cc9)or `tab` and `shift-tab` to indent and outdent a paragraph, which changes its level for numbering purposes.

## Tabulations

Auto-numbering within a paragraph (e.g. "clause (i) one and (ii) two") is called tabulation, and tabulations are outside the document's nine-level numbering style, with their own sequence of number styles. Tabulations are per-sentence, and re-start in a new sentence, using a different number style.&#x20;

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FOvDLffDII3EnC030d3zT%2Fimage.png?alt=media&amp;token=590761f4-c706-40da-a5a7-fe563a480787" alt=""><figcaption><p>Example of tabulation numbering, where first sentence gets lower-roman numbers, and the second lower-alpha.</p></figcaption></figure>

## Numbering Sequences

Within an AllDrafts document you can have multiple numbering sequences. A sequence starts numbering from one and has a numbering style. The most common reason for two sequences is separate numbering sequences within a 'Recitals' section of a contract and the main body of the contract. (You might also have a separate numbering sequence within an Exhibit or Appendix.)

If Recitals are numbered, they typically are numbered 1, 2, 3, or A, B, C. But once you get into the body of the contract -- the core document -- you most likely want to number Articles or Sections from one again, and sometimes with a different style. (A, B, C for Recitals, but 1, 2, 3 for Sections.)

AllDrafts automatically separates Recitals and Document sequence based on headings like "Recitals" or "Background" vs "Agreement", and Exhibit and Appendix headers, but you can manually specify the sequence for a number as well. (See the right-click options below.)

## Right-Click to Customize Numbering

If you wish to override the style or value of an auto-number, you can right-click on it. Changes you make will impact all of the auto-numbers that follow in sequence at the same level until the level changes.

When an auto-number has been customized, a small red triangle is shown next to it (on-screen only) to remind you that it has specific values set.

In general you should not need to customize numbering and should avoid doing so; it introduces complexity and prevents AllDrafts from managing everything for you. However there are cases where you may wish a particular style to be used, or to hard-code a specific number.

An example might be where you want to distinguish a sub-group of paragraphs that all appear at the same level; instead of a, b, c, d, e, f you may wish to see a, b, c and then x, y, z, as shown here:

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FXfst4kGpvEiYZvfE9YN6%2Fimage.png?alt=media&amp;token=d4bd2493-6515-44f6-a88e-a29f06a461dd" alt=""><figcaption><p>An example of overriding the number value in the middle of a list of auto-numered paragraphs.</p></figcaption></figure>

In this case right-clicking on what had been the 'd' auto-number allowed the user to choose an alternate Numbering value (24, represented as 'x' in this lower-alpha style), which then influenced subsequent numbers at this same level. In this case only the fourth auto-number has been given an override, but it impacts the fifth and sixth auto-numbers that follow at this same level.

### Sequence

You can choose which sequence a number belongs to; Automatic is the default and best choice, but you can override that here if necessary.

### Style

A variety of formats can be chosen for a specific auto-number.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2Fexcl5soIdjuU6ukLvQRa%2Fimage.png?alt=media&amp;token=e966cd29-b6f8-406f-9ff1-2dc50a21ecf5" alt=""><figcaption><p>The various style overrides available for an auto-number.</p></figcaption></figure>

### Numbering value

A way to hard-code a specific number value (shown in the presently chosen style). Changing the numbering value for one auto-number causes auto-numbers that follow at the same indent level to count up from this value.

# Defined Terms

Understanding and managing Defined Terms in AllDrafts.

{% embed url="<https://youtu.be/i01OL3lZ33w>" %}

### Understanding Defined Terms in Document Drafting with AllDrafts

Defined terms are a critical component of any contract. AllDrafts manages defined terms for you, enhancing both the drafting and reviewing processes.&#x20;

In AllDrafts, a term is considered "defined" when it is enclosed in double quotes and appears in title case. Common examples of defined terms include "Agreement," "Effective Date," and "Company."&#x20;

AllDrafts offers the ability to quickly navigate to the definition of any term. By clicking on a term from the list of terms in the right side panel users are not only taken directly to its definition but also see any instance of that term highlighted throughout the document. This feature simplifies the process of reviewing and understanding the use and scope of defined terms.

#### Filtering by Defined Term

A unique feature of AllDrafts is the ability to filter the document’s view based on a specific term. This filter shows only the paragraphs containing the defined term, effectively omitting unrelated sections and focusing the reviewer’s attention on relevant clauses.

You can do this by clicking the 'funnel' icon that is shown when you hover over a defined term in the side panel, or by right-clicking on any instance of a defined term in the document. The result is a 'Find' operation with the 'Filter hits' checkbox selected, which ensures that only paragraphs containing the searched-for defined term are shown.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2F6RFoUH2EfKL906lE6fte%2Fimage.png?alt=media&amp;token=e5c62b6f-ad6b-4444-b134-8c2418d200c0" alt=""><figcaption></figcaption></figure>

#### Preview Window for Definitions

AllDrafts enhances the review process with a preview window that pops up when a term is clicked. This window displays an excerpt from the document where the term is defined, offering immediate context without the need to navigate away from the current view.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2F0QWRAjNMonJ0djCkpRqp%2Fimage.png?alt=media&amp;token=79b3a55b-1df3-4e5d-b26b-dea4bccc6099" alt=""><figcaption></figcaption></figure>

#### Renaming Defined Terms

Renaming a defined term in AllDrafts is a straightforward process that avoids the common pitfalls of find-and-replace functions. Users can rename a term through a dropdown menu or a right-click option, and AllDrafts will display a preview of the changes, applying them only where the term is used in its defined sense. This prevents unintended alterations in parts of the text where the term might appear in a different context.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2Fn4vHpgKZbVnyvJlQu9UW%2Fimage.png?alt=media&amp;token=21bf462b-d7fb-4084-b8fe-54f8c2789f58" alt=""><figcaption></figcaption></figure>

#### Identification of New and Undefined Terms

AllDrafts continuously scans the document for new terms that could be defined or for terms that have been defined multiple times. It alerts the user to potential inconsistencies, encouraging a thorough and precise definition process. For instance, if a new term like "Reimbursement Payment" is introduced, AllDrafts will highlight it as a possible undefined term until it is officially defined, ensuring completeness and accuracy in the document’s terminology.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2F36AamX7g6ZYPBeBEB8aO%2Fimage.png?alt=media&amp;token=9e2c4946-371a-423a-a87f-47ccd1c118fa" alt=""><figcaption></figcaption></figure>

#### Conclusion

AllDrafts' defined terms functionality is designed to streamline the drafting and review process, making it easier for users to maintain consistency, clarity, and precision in their documents.

You can put anything you'd like in these fields and choose to have them used in the header or footer of printed and exported documents, or in the file name of a downloaded Word or PDF document.

In the future, when AllDrafts is connected by API to a practice management system these fields may be automatically filled in as appropriate.

## Audit Trail

A detailed list of everything that's happened with this document.

# Document Settings

How document settings are inherited and affect document display.

Document settings are split into Styles, which primarily affect how the document is formatted, both on-screen, in PDF, and in print, and Page Formatting, which is only used when exporting to PDF or Word, or printing.

Each setting indicates the source of the current value, following the label and value field. This defaults to "From Defaults", which indicates that the value is a system default. If you change the value in this document, it becomes "This document". If you had given a value to this setting as part of the [Style overrides on a parent folder](/alldrafts-documentation/folders/inherited-folder-properties), the folder name will be shown here.

If you've set a value here on the document, but want to go back to inheriting from parent folders (or system defaults), you can choose 'Default' from the list of options.

## Styles

Here you can choose a style sheet, numbering style, and very specific font and font-size properties for the document and headers and footers.

(In this context, header and footer refer to small type in the upper or lower page margin typically used for page numbers, document titles, date and time, etc. -- not the 'headings' in the document text itself.)

The most commonly modified document styles can also be chosen from the Style menu in the document editor; these are the same setting shown here in a large list view.

## Page Formatting

Here you can set margins and the format of headers and footers.

* Note: The header is not rendered on the first page of an exported document, but starts appearing on the second page. The footer appears on all pages for contracts, but starts on the second page for letters.

For the header and footer you can also set the text you want rendered at the left, center, and right positions. You can type any text here, and can insert from a list of special tokens that will render dates, page numbers, etc.

You can control whether an entire paragraph (and all indented sub-paragraphs following it) is shown or hidden by setting a paragraph condition that must evaluate to TRUE for the paragraph to be shown.

If the condition is TRUE or can not yet be calculated (because the required fields are not yet set, for example) the paragraph will be shown with an icon in its left margin. You can click this icon to edit the condition formula.

You can set a paragraph condition by right-clicking and choosing **Paragraph conditions** from the menu, or by using the Paragraph Conditions button on the editor toolbar.

Hidden paragraphs are **not included in downloads to Word or PDF**.

You can use **View > Show hidden paragraphs** to show hidden paragraphs (in gray) when their conditions would cause them to be hidden; this does not add them to the document content and they will still not be included in an export or download or signature copy, but only visually for your inspection.

See [Calculated Fields](/alldrafts-documentation/fields/calculated-fields) for more information on writing condition formulas.

# Smart Diagrams

Smart Diagrams are graphical representations of contract terms, dynamically connected to the value of fields in the document.

If you change a connected field the diagram is updated in AllDrafts to reflect the change.

Smart Diagrams make contracts easier to understand, and their dynamic nature ensures that the diagram and the underlying contract text remain in sync.

## Configuration

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FTTwuRyK2eDYZ8Hrvfg6M%2Fimage.png?alt=media&amp;token=10e5d195-6146-486d-b524-8fc90f991805" alt=""><figcaption><p>The Smart Dialog modal for insertion.</p></figcaption></figure>

Each Smart Diagram comes with associated clauses the contain all the fields used by the diagram. (Some are required in order to render the diagram, and others are optional.)

By default, inserting a Smart Diagram inserts both the diagram and the matching clauses, to help ensure consistent messaging and use of the named fields. The modal warns you if a named field that will be inserted already exists in the document, and if it has a conflicting definition.

Once you've inserted the associated clauses they are just normal text in the document and you can edit, delete, or rewrite them as needed. Your are not constrained to using the exact language that is inserted with the diagram.

The Smart Diagram will continue to work as long as the named fields are present. If you delete a Required named field, though, the diagram will update to warn you that it cannot be accurately displayed without the required field.

## Example

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FPx2nOPNnxudfo6BF8cK9%2Fimage.png?alt=media&amp;token=563400b6-eb5c-4576-9e1f-2a9227e59072" alt=""><figcaption><p>An example of how the NDA Smart Diagram might appear in a contract.</p></figcaption></figure>

# Entities

{% embed url="<https://youtu.be/B_Pq0O7CcD0>" %}

An Entity is a complex data type representing a [Person](/alldrafts-documentation/person), [Organization](/alldrafts-documentation/organization), or Address.

Entities are stored in documents as their own data items, because an Entity might carry more information than is presently shown in the text of the document (e.g. an Entity may be referenced only by name, but have an associated address and other information).

When building contract templates, choosing Entity as the [field type](/alldrafts-documentation/fields/field-types) allows a template user to choose a Person or an Organization when the template is filled in.

# Facts

Understanding facts and personal identifying information in AllDrafts.

AllDrafts identifies many facts (including most PII -- personal identifiable information) and lists them in the Facts / PII panel.

This panel provides a list of all the facts in the document and can be useful in reviewing the document to ensure there are no errors or left over data from a copy-and-paste operation.

When you hover the mouse over a fact a dotted underline is shown, and right-clicking on a fact offers the option of changing a fact or converting the fact to a [field](/alldrafts-documentation/fields).

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FYoc8PrkuwbDgtV8vSgA6%2Fimage.png?alt=media&amp;token=b8646fd0-99c3-498d-9140-c9a904f9c3b9" alt=""><figcaption></figcaption></figure>

## Facts Are Specific Instances

When you select a defined term in the Terms panel, every instance of that term is highlighted. When you select a fact from the Facts / PII panel only a single instance is highlighted, because while '30 days' may appear multiple times in a document, each occurrence may be for a different purpose and have a different meaning.

Facts are context-specific.

## Changing a Fact

If you choose to change a fact you are shown a mini redline of the change. You are also shown any other instances of facts with the same value -- regardless of their format -- in case you want to change all of them. In the example below it is likely that the user would want to select the other two instances of September 16, 2011 and change them all to the same value.

By default ony the instance selected is checked to be changed; to change the others simply check the selection box before clicking the Change button.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2Fr9xsC4m38ESVdeU1MhZX%2Fimage.png?alt=media&amp;token=eec9d562-1177-4469-996c-d450c0d3fa69" alt=""><figcaption></figcaption></figure>

You can change the format of a fact while changing its value (or just change the format without changing the value). The Format drop-down lets you choose from multiple formats.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FFTerNibRdHDiVUeqVozt%2Fimage.png?alt=media&amp;token=6ffc22bb-3dba-41d2-8ef0-8234879c90f0" alt=""><figcaption></figcaption></figure>

# Folders

How folders work, and how to organize your work.

The AllDrafts folder system is similar to your existing Windows or Mac file system. Folders can contain documents or other folders, in whatever hierarchy you would like.

## Naming Folders

For convenience, you can create any folder hierarchy simply by specifying it. For example, if you have a brand new client **Badlands Air Group, Inc.** and they've asked you to draft an employment agreement, you can create a new document and set the folder name to "Badlands Air Group / HR / Employment Agreements" and the entire folder hierarchy will be created at once.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2Fc2RnD8p0DDFGUsdMZtQn%2Fimage.png?alt=media&amp;token=cff18eb7-0490-4b13-af4b-d8303769aeeb" alt=""><figcaption><p>Having typed a new folder location while creating a new document.</p></figcaption></figure>

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FQsnenlx5Oh7WVuvNQyMR%2Fimage.png?alt=media&amp;token=e1d17b9e-9f9d-4ef8-acb9-a2272e421d70" alt=""><figcaption><p>The resulting folder hierarchy.</p></figcaption></figure>

## Moving Documents

You can move a document in the folder view by simply dragging it to a new folder. You can right-click on a document and choose 'Move' to specify a new folder. To move a document while it is open for editing, click the folder icon to the left of the document title in the top bar of the application.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FPgdKfNE6UpTZ4N32GFzW%2Fimage.png?alt=media&amp;token=6abda0d1-c41c-4ce4-856e-e9b618bbeab5" alt=""><figcaption><p>The top bar of the application showing the folder icon next to the dcument title.</p></figcaption></figure>

When you are moving a folder, you can simply click and edit the folder path, or click on a component of the path (including the / level separator) to see a dropdown with options.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2F5zmTlFEwJFBAWetShH31%2Fimage.png?alt=media&amp;token=bcad4e9a-589c-4ff1-b1dc-b54ace8ceec2" alt=""><figcaption><p>The Move File modal with the first level selector chosen, showing an alternate folder and providing an option to create a new folder at that level.</p></figcaption></figure>

## Sharing Folders

Folders, like documents, can be shared with others. Use the Share button link at the upper-right of the folder header to share a folder.

You must categorize everyone you share with as Team, Client, or Counterparty. The folder will be colored accordingly.

* See Also: [Special Folders](/alldrafts-documentation/folders/special-folders-built-in)

# Special Folders (Built-in)

* Home
  * The Home folder does not contain any documents, but gives you a view of recent and active documents and templates across all your folders. The purpose is to let you see what's happening or quickly find 'that document I was just working on the other day' without having to navigate the full folder hierarchy.
* All Templates
  * This is a virtual folder that shows all the templates you have access to across all your folders.
* Shared with me
  * This is the default location of any document shared with you by another AllDrafts user. You most likely want to move documents from this folder to one of your own choosing.
* Inbound from clients
  * When a public questionnaire you created has been filled out and submitted, a new document is created. This is where it is located until you move it to another folder. (You will see a 'number wart' to the right showing you how many documents are waiting here to be moved to the appropriate folder.)
* Community
  * This folder is shared by all AllDrafts users, and is a repository of document templates anyone can use. Some of these were created by AllDrafts staff, and others by users. You can submit your own templates to this folder by right-clicking on and choosing 'Submit to AllDrafts community'. If you do, you'll have a chance to provide more information about the template and give explicit permission for it to be shared publicly.
  * *AllDrafts makes no representations about the quality or accuracy of the Community folder; please review and edit according to your needs and jurisdictional requirements.*
* Recycle bin
  * A temporary storage folder for deleted documents, where you have a chance to retrieve a regretted or accidental deletion.

# Recommended Folder Structure

Best practices for organizing your folders and documents.

Collaboration is a key feature in AllDrafts, and you can collaborate on a whole folder as well as specific document.

It can be helpful to organize your folders with collaboration in mind.

At the top level, the permanent **Personal** folder is where you should store documents visible only to you.

To collaborate within a law firm or corporation, create a top level folder with the organization name and share it with your team. (Ideally only one person in the firm creates this folder, which is then shared with others. It does not matter who creates the folder -- everyone who has edit permissions is a co-owner -- but it helps if there's just one shared folder for the team.)

Within a law firm folder you can then organize by client name or year, according to your own preferences. Keep in mind what client-related documents you might want to share with the client or not, and set up subfolders accordingly.

* Note: Sharing permissions are inherited. If you share a folder, you've shared its subfolders.

# Inherited Folder Properties

You can specify document styles, entities, and field values at the folder level and find them available in every document in that folder, or in any subfolder of that folder.

This is an incredibly powerful tool for speeding document creation and maintaining consistency with client standards.

All of these settings are available from the gear icon in the upper-right of the folder header, next to the Share link.

## Settings

Most [document settings](/alldrafts-documentation/document-editor/file-menu/document-settings) and style properties can be set at the folder level, including Style sheet, font, margins, etc.

This is an easy way to enforce firm-wide or client-specific choices for font and formatting. Documents inherit these settings but can also override them on a per-subfolder or per-document basis.

## Folder-Specific Settings

Certain settings are only available on folders, and not on documents. These settings apply to all the documents in the folder (and its children, unless overridden by a folder-specific setting downstream).

### Filename > Pattern

Specifies the pattern used for the name of downloaded files (Word documents or PDF).

The pattern is in the form of a template, with the template tokens enclosed in \<angle brackets>.

Tokens:

* `<Title>` - the document title
* `<ID>` - the document ID from the Document Details
* `<Client ID>` - the client identifier from the Document Details
* `<Matter ID>` - the matter identifier from the Document Details
* `<Rev>` - the revision identifier; e.g. 'Draft', 'Rev 1', 'Final', or 'Ready for Signature', etc.
* `<YYYY-MM-DD>` - the date of the export operation with zero-padded values for month and day.
* `<MM-DD>` - the date of the export operation with zero-padded values for month and day.
* `<D MON YYYY>` - the date of the export operation; e.g. 4 Jul 2024
* `<D MON>` - the date of the export operation; e.g. 4 Jul
* `<D MONTH>` - the date of the export operation; e.g. 4 July
* `<MON D>` - the date of the export operation; e.g. Jul 4
* `<MONTH D>` - the date of the export operation; e.g. July 4

The default pattern is `<Title> <Rev> <YYYY-MM-DD>`, which results in a file name like: `Smith Brothers LLC Operating Agreement Draft 2024-08-12.docx`.

If a field is missing or has no value it will not be inserted, and any resulting double spaces will be collapsed to a single space.

### Letterhead

Specified the letterhead to be used for any documents of type "Letter" in this folder (or its children).

## Entities (Coming Soon)

You can specify People and Organizations at the folder level and find them available when filling in fields in documents. You may find it useful to specify a client organization and its key contacts on each client folder, making it easy to add the client data to any contract you create inside that folder.

## Fields (Coming Soon)

You can specify default values for named fields, like Company, Employer, Law Firm, etc. When a new document is instantiated from a template these values will be used for any matching fields. This can dramatically speed creation of standard documents for a client.

# Fields

{% embed url="<https://youtu.be/ue2NfNVb5aw>" %}

Fields also have a value, which is their content. When a field is empty, it renders as an yellow-highlighted underline with the field name (or field type, if there is no name specified). When the field has a value, the field renders the value in the document in the format specified (for types with formats).

Values can generally be entered in the easiest possible way, or fully formed in a formatted function, and they will be parsed and re-rendered according to the specified Format. (So while a field might read "one thousand dollars ($1,000)", you can set a new value just by typing 500 into the value field, which will then update to read "five hundred dollars ($500)".)

The same field can appear many times in a document, and will always have the same value, question, and description (though each instance can render with a specific format).

Feel free to copy text with fields and paste elsewhere in the document, or to copy from one document to another.

If you 'View > Show questions' (to see field questions inline in the document) or share a document as questions for client intake, a field's question will only appear once, where the field is first used in the order of fields in the document. So feel free to reference the field as many times as needed.

### Naming Fields

* **Reuse Defined Terms.** It is common (and recommended) to name fields that will be referenced by a [Defined Term](/alldrafts-documentation/defined-terms) with the same text; while it may seem awkward when typing a template, the field name 'Employee' will of course be hidden in practice by the actual employee name.
* **Be concise.** Since every field can have both a question and a description affiliated, which will be used in questionnaires and available on hovering over the field, field names do not need to include extra words or questions. "Employee" is a better field name than "Name of Employee", since the questionnaire will likely have a question in the form "Who is the Employee?"

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FlARzJqliM3usRND4c2rI%2Fimage.png?alt=media&amp;token=ff593248-afde-4785-bbd8-293d9a3856ec" alt=""><figcaption><p>Employer and Employee are both field names and Defined Terms.</p></figcaption></figure>

# Field Types

The various types of fields you can embed in a document template in AllDrafts.

#### Text

Text fields are the most basic field. They render the text in the value.

#### Number

Number fields render their value according to the format specified.&#x20;

| Format                 | Example               |
| ---------------------- | --------------------- |
| Digits                 | 100                   |
| Words                  | one hundred           |
| Words & Digits         | one hundred (100)     |
| Ordinal Digits         | 100th                 |
| Ordinal Words          | one hundredth         |
| Ordinal Words & Digits | one hundredth (100th) |

#### Money

Money fields take a value and an optional currency code, which can be inferred from a symbol ($ or £) or official three-letter currency code like USD, CAD, or UKP.&#x20;

Money fields, and specifically the dollar sign, default to US Dollars in the absence of more specific currency data. If a contract is in non-US dollars it doesn't really need to be explicit about which dollar is used as long as rendering isn't in 'Currency & Digits' format, which uses the actual currency code. All other formats render all dollars with the word dollars or the $ dollar sign.

<table><thead><tr><th width="257">Format</th><th>Example</th></tr></thead><tbody><tr><td>Digits</td><td>$1,234</td></tr><tr><td>Currency &#x26; Digits</td><td>USD 1,234</td></tr><tr><td>Words</td><td>one thousand two hundred and thirty-four dollars</td></tr><tr><td>Words with Fractions</td><td>one thousand two hundred and thirty-four and 00/100 dollars</td></tr><tr><td>Word with Fractions &#x26; Digits</td><td>one thousand two hundred and thirty-four and 00/100 dollars ($1,234)</td></tr></tbody></table>

#### Date

Date fields work with all three of day, month, and year, and offer multiple formats for rendering, including a formal 'the' and 'this' format, e.g. this 12th day of February, 2024.

#### Time

Time fields accept and render time in hours and minutes on a 12-hour clock, with am/pm.

#### Percent

Percent fields store both percentages and basis points. (There is special handling to switch to basis points if a value is entered with 'bps' following, e.g. 12 bps vs 12%.)

Internally, and for the purposes of calculations, the value of a percentage field is numerical: 12% will appear as 0.012 when used in a calculation in another field. But user input into the field is accepted in terms of % or basic points.&#x20;

An empty field of type Percent will parse '10' as '10%', and 0.1 as "0.1%'.

#### One of \<list>

The One of type sets a field to accept just one of preset list of values.

The list of values can be specified on a single line, with each value separated by a pipe (|) character, semicolons, or commas. (Spaces around the separators will be ignored.) The multiple separators are supported for ease of use; you may find commas to be easiest for a short list, e.g. "red, blue, green", but you can use another separator when you need commas in the value, e.g. "New York, NY | Seattle, WA | Washington, D.C.".

There is no format available since the field just renders as the selected value.

#### Any of \<list>

The Any of type lets the user choose one or more items from a preset list of values.

The chosen items are rendered as a textual list in the form "one" or "one and two" or "one, two, and three", with a format that lets you choose whether or not the serial comma is used.

#### List

List fields accept a separator-based list of items which will be rendered according the specified format (for serial comma selection). A list field isn't much different than a text field for a hand-edited form, but has utility for document automation where you may want to address each list item separately.

#### Person

Person fields accept [Person entities](/alldrafts-documentation/person) from the list in the document; users can also start typing a new Person name and create the Person entity directly from the field input.

#### Organization

Organization fields accept [Organization entities](/alldrafts-documentation/organization) from the list in the document; users can also start typing a new Organization name and create the Organization entity directly the field input.

#### Entity

Entity is a placeholder field that will accept a Person or Organization entity, and is most commonly used in the caption or preamble when it is unknown if a party to the contract will be a person or organization. Entity subfields are the subfields common to Person and Organization entities.

#### Address

Used to store an address that is not associated with a Person or Organization entity (e.g. a property address in a real estate document). If there's a need for the address of a Person or Organization, it is better to create a field referring to the Address subfield of an Entity. For example, of there is a field named "Employer", and you wish to refer to the Employer's address, creating a field named "Employer.Address" is the right way to render the Employer's address, and to make sure it stays in sync if a different Person or Entity is chosen as Employer.

#### Governing Law

This is a special field used primarily in Venue or Governing Law clauses. It is just text, and can be filled with any text, but it has an auto-complete list to help you choose from country, state, territory, or tribal law.

#### Venue

Another special field that accepts any text, but auto-suggests the courts of the United States, from federal to county.

# Field Settings

Fields must have a type, and some fields (e.g. Person and Organization entities) have subfields which allow you to address specific components of a complex data type.

All fields can be named, and this name (with spaces replaced with underscores, e.g. `Interest_Rate`) can be used to reference the field in the Formula of another field.

If a Formula is specified its result becomes the value.&#x20;

If desired, a user can override a calculated value that results from a formula by checking the 'Override calculated value' box when viewing the field modal. (Or by simply typing over the field.) While this might be a poor practice for a math calculation (like an interest payment), it is a way to support calculated dates (e.g. first date of employment is second Monday following the date of the employment agreement) that can easily be overridden with specific dates.

The Question is presented when the fields in a document are shared as a questionnaire (for client intake or law firm convenience).&#x20;

The Description is a place for an even more detailed explanation of the field which is made available in the field modal and on hover when filling in the questionnaire. Both are shown when hovering over a field, empty or not.

Format controls how the data in the field (or subfield) is rendered in the document. Format is the one property of a field that is specific to its instance. (In other words, if you have a field named "Interest Rate" in two places in the document, changing the Question or Description or the value of the field will be replicated everywhere it occurs, but the Format will not. This allows you to use "8%" (Digits) in one place, and "eight percent (8%)" (Word & Digits) in another.

Note that the State subfield (of a Person, Organization, or Address entity) even has formats for variant presentations: 'New York', 'State of New York', and 'state of New York'. That is all part of making it easier to make robust templates that require minimal contextual edits to read correctly.

# Calculated Fields

{% embed url="<https://youtu.be/i3M8-8Qk26Y>" %}

Calculated fields are a powerful feature for automatically updating contract text based on other field content.

Calculated fields work with numbers or text, and use the familiar Excel and Google Sheets formula syntax. (Instead of referring to a cell, like D23, simply use another field name, replacing any spaces with underscore (\_) characters. So a field named `Interest Rate` is referenced as `Interest_Rate` in the calculated field formula.)

Calculated fields are shown with gray backgrounds to distinguish them from fields where input is allowed, which have yellow backgrounds.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FS4P4ZbRl9TsSV2jBf9dr%2Fimage.png?alt=media&amp;token=b844ec9c-f0c6-4e87-9a27-a4507a304c21" alt=""><figcaption></figcaption></figure>

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FrjnZnKLbZvTOZS3FSpr7%2Fimage.png?alt=media&amp;token=f2dabc4e-e792-402e-b547-3216990a23c1" alt=""><figcaption></figcaption></figure>

## Overriding Calculated Fields

If you want to preserve the field structure but override the calculation to show a specific value or text, click the \[ ] Override calculated field checkbox, while will allow you to directly enter a value. You can also override a field by simply deleting it -- backspace through the field, or type right over it with the txt you want.

## Operators in Calculated Fields

You can use a number of operators inside a calculated field for&#x20;

1. **Multiplication Operator (`*`)**
   * Usage: Multiplies two numbers.
   * Example: `A * B` multiplies the value in A with B.
2. **Addition Operator (`+`)**
   * Usage: Adds two numbers.
   * Example: `A + B` adds the value in A to B.
3. **Division Operator (`/`)**
   * Usage: Divides the first number by the second.
   * Example: `A / B` divides A by B.
4. **Subtraction Operator (`-`)**
   * Usage: Subtracts the second number from the first.
   * Example: `A - B` subtracts B from A.
5. **Concatenation Operator (`&`)**
   * Usage: Concatenates two strings or values.
   * Example: `="Hello, " & Employee.Name & ","` would return a single string "Hello, John Doe," if `Employee` field contained a Person named John Doe.
6. **Exponentiation Operator (`^`)**
   * Usage: Raises the first number to the power of the second.
   * Example: `A ^ B` computes A raised to the power of B.
7. **Percent Operator (`%`)**
   * Usage: Converts a number to a percentage. (Works on a number, not a field.)
   * Example: `12%` converts 12 to its percentage equivalent; 0.12 if rendered as a Number and 12% if rendered as a Percent.
8. **Greater Than Operator (`>`)**
   * Usage: Compares two values, true if the first is greater.
   * Example: `A > B` is true if A is greater than B.
9. **Equal Operator (`=`)**
   * Usage: Compares two values for equality.
   * Example: `A = B` is true if A equals B.
10. **Less Than Operator (`<`)**
    * Usage: Compares two values, true if the first is less.
    * Example: `A < B` is true if A is less than B.
11. **Not Equal Operator (`!=`)**
    * Usage: Compares two values, true if they are not equal.
    * Example: `A != B` is true if A does not equal B.
12. **Greater Than or Equal Operator (`>=`)**
    * Usage: Compares two values, true if the first is greater or equal.
    * Example: `A >= B` is true if A is greater than or equal to B.
13. **Less Than or Equal Operator (`<=`)**
    * Usage: Compares two values, true if the first is less or equal.
    * Example: `A <= B` is true if A is less than or equal to B.

# Formula Functions

A list of all the formulas supported in calculated fields.

The formulas work like Excel and Google Sheets, and examples you find on the Internet will generally work in AllDrafts' [calculated fields](/alldrafts-documentation/fields/calculated-fields) with little or no modification as lon gas you use field names instead of row-column references. (AllDrafts has no sense of cell D23, but may have a field named `Interest Rate`, which you can refer to in a formula by using the underscore (\_) character for spaces, like `Interest_Rate`.)

Ultimately AllDrafts renders everything as text, but if a formula results in a number or date, AllDrafts will use the field's formatting property to render it.

# ARTICLEFOR Function

**Purpose**: Determines the appropriate English indefinite article ("a" or "an") to use before a given word or phrase based on phonetic rules.

#### Syntax

```
ARTICLEFOR(word)
```

**Arguments**:

* `word`: The word or phrase for which you want to determine the correct indefinite article. This should be a string value.

**Returns**: A string value, either "a" or "an", depending on the given word or phrase.

#### Example Uses of `ARTICLEFOR()` in legal documents

1. **Intellectual Property Clause**:

   When referring to an unspecified piece of intellectual property:

   ```
   The Licensor grants the Licensee the right to use ARTICLEFOR([Intellectual Property]) [Intellectual Property].
   ```

   If `[Intellectual Property]` was "application", the output would be:

   ```
   The Licensor grants the Licensee the right to use an application.
   ```
2. **Liability Statement**:

   For a section detailing potential liabilities:

   ```
   The Provider shall not be held responsible for ARTICLEFOR([Incident]) [Incident] resulting from use of the services.
   ```

   If `[Incident]` was "accident", the document would read:

   ```
   The Provider shall not be held responsible for an accident resulting from use of the services.
   ```
3. **Indemnification Clause**:

   When crafting a section detailing the causes for indemnification:

   ```
   The Party agrees to indemnify the Other Party against all losses arising out of ARTICLEFOR([Cause of Loss]) [Cause of Loss].
   ```

   If `[Cause of Loss]` was "loss of power", it would be rendered as:

   ```
   The Party agrees to indemnify the Other Party against all losses arising out of a loss of power.
   ```

# USHOLIDAYS Function

**Purpose**: The `USHOLIDAYS()` function returns an array of dates representing the US Federal Holidays from the years 2020 through 2038.

**Syntax**:

```
USHOLIDAYS()
```

**Arguments**:

* None.

**Returns**: An array of dates for the US Federal Holidays between 2020 and 2038.

**Details**: `USHOLIDAYS()` includes the following holidays:

* New Year's Day: January 1
* Martin Luther King Jr. Day: The 3rd Monday in January
* President's Day: The 3rd Monday in February
* Memorial Day: The last Monday in May
* Juneteenth: June 19
* Independence Day: July 4
* Labor Day: The 1st Monday in September
* Columbus Day: The 2nd Monday in October
* Veteran's Day: November 11
* Thanksgiving Day: The 4th Thursday in November
* Christmas Day: December 25

**Observance Rules**:

* For holidays that fall on a Saturday, they will be observed on the preceding Friday.
* For holidays that fall on a Sunday, they will be observed on the following Monday.
* `USHOLIDAYS()` does not account for Inauguration Day, which occurs every four years.

**Compatibility**: The `USHOLIDAYS()` function is designed for compatibility with other functions like `WORKDAY()` and `NETWORKDAYS()`, allowing users to exclude US Federal Holidays from calculations involving business days.

**Examples**:

1. To exclude US Federal Holidays when calculating the end date of a project that is expected to take 30 business days:

   ```excel
   =WORKDAY(Project_Start_Date, 30, USHOLIDAYS())
   ```
2. To determine the number of business days between two dates, excluding weekends and US Federal Holidays:

   ```excel
   =NETWORKDAYS(Start_Date, End_Date, USHOLIDAYS())
   ```

***

**Note**: The `USHOLIDAYS()` function ensures you consider US Federal Holidays when calculating business days. However, it is essential to double-check and verify the dates, especially in contexts where precise date calculations are crucial.

# Letterhead

Creating a document on letterhead; engagement letters, demand letters, letter contracts.

AllDrafts can automatically render your document on your firm or client's letterhead if you upload it as a PDF or graphic.

Documents with a [Document Types](/alldrafts-documentation/document-types) beginning 'Letter' are automatically presented on the letterhead set for the folder or its parent.

Letterhead is shown during editing and is included in export to Word or PDF. During editing the top of the letterhead is shown at the top of the long scrolling document, and the footer at the bottom. At export the letterhead is properly placed behind the text on the first page of the exported document.

Letterhead can be provided in PDF or image format. Ideally upload letterhead the size of a full page (typically Letter format, 8.5x11").

If you upload something smaller than a page you can use the Align option to choose how its placed, along with the Top and Side offsets.

Because letterhead may have a large header or a long list of names on the side, you can specify Top, Bottom, Left, and Right Margin for the letterhead. When the page is exported the larger of the document margins and these letterhead margins will be used on the first page, which has the letterhead. The remaining pages will use the document margins.

### Set at Folder Level

Because letterhead is usually specific to a firm or a client the letterhead is set only at the Folder level. (If you have attorney-specific letterhead, just use different sub-folders. You can also put a client letterhead on a client folder.)

If you are in a document and want to use letterhead you can change the document type by using **File > Details**, or use the **Insert > Letterhead** menu option, which will change the top level of your document type to 'Letter'.

If you insert a letterhead but have not specified one for this folder or any parent folder, you'll have the option of uploading it from a modal within the document, and choosing how far up the folder tree to apply it. This is simply a shortcut to going to the Folder view and setting it there on Folder Settings.

# Organization

Organizations are special entities within AllDrafts.

An Organization is a type of [Entity](/alldrafts-documentation/entities) (a complex data type in AllDrafts) that encapsulates all of the information about an organization that might be used to fill in fields in a contract or document template.

#### Name

The legal name of the organization, including trailing suffixes like ", Inc." or ", LLC". Forms without suffixes will also be matched and associated.

#### Address (Mailing / Principal Place of Business)

This field auto-completes with every mailable address in the United States. This should be the principal address that would appear in a contract preamble.

* Under the hood, particularly after a paste or import, it is possible for more than one address to be affiliated with an organization, but generally there is one address per organization and per person. And if a person is affiliated with an organization and has no address, the organization address will be used for that person.

#### State or Province of Registration

This is often not the same state as appears in the address (for example, many corporations around the United States are incorporated in Delaware, but have a principal address elsewhere).

#### Organization Type / Descriptor

This is the language you'd like to use when this organization is a party described in a contract, e.g. "a Delaware corporation", or "an institution of higher education having powers under the laws of the State of California". Use the complete phrase.

#### County of Registration

With the State or Province of Registration, used for notarization forms and venue clauses.

#### Registration Number

Rarely used in the United States, but provided to international organizations where contracts typically include a government registration number.

#### Phone / Email

Standard contact fields.

#### Affiliated People

People can be associated with an organization for the purpose of Notice-to clauses, signing on behalf of the organization, etc. When a person is added to the Affiliated People list they will be shown indented below the organization name in the Facts / PII panel.

Note that the same person may appear multiple times in the Entities list: in their capacity as an Affiliated person and as an un-affiliated individual, or even affiliated with another organization. (For example, someone might sign a single contract as an officer of a corporation and also in their personal capacity.)

Typically these instance of the Person will have different addresses and contact information (e.g. a corporate mailing address and email, and a home address and personal email) -- they are maintained as two different people by the system.

# Person

A Person is a special entity within AllDrafts

A Person is a type of [Entity](/alldrafts-documentation/entities) (a complex data type in AllDrafts) that encapsulates all of the information about a person that might be used to fill in fields in a contract or document template.

#### Name

Enter the full name of the person as they'd be addressed by mail; you can include titles and suffixes. AllDrafts automatically parses most names and can render (and find them) in variant forms. E.g. Dr. John Q. Public, Jr. will automatically be matched against instances of "Dr. Public", "John Q. Public", "Public, John Q.", etc.

#### Pronouns

When you enter a name, AllDrafts will attempt to guess the pronouns to use with it, based on traditional patterns and statistics in the United States. (In simple terms, if 85% of people born with that name in the United States were recorded as male or female, traditional he/she pronouns will be guessed.) For names like 'Kim', which are commonly used for two genders, 'they' will be chosen by default.

You can override the default pronouns by typing one or more pronouns, in the order subjective, objective, possessive, and reflexive pronoun, separated by slashes. If you type just one or two (e.g. he/him), the others will be automatically filled-in from common patterns or formulations.

* See [Pronouns](#pronouns)

#### Address

The Address field with auto-complete for any mailing address in the United States.

#### Role / Descriptor

This is the language you'd like to use when this person is a party described in a contract, e.g. "an individual residing in Washington state".

#### County of Residence

This field is most often used in a notarization form, or for choosing which county courts to use in a Venue clause. This county should be in the State or Province of Residence.

#### State or Province of Residence

This defaults to the state in the Address line, but can be set to a different state if someone has a mailing address that differs from their state of residence. Since this is also used for notarization forms, it should be the state containing the specified County of Residence.

#### Phone / Email

Standard contact fields that may be used in populating Notice-to fields, or as the default email for sending a document for e-signature by this person.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2Fh8CwSklvgci9Dzzvd2lp%2Fimage.png?alt=media&amp;token=6c1490f8-55ce-41ac-bc4a-ca4fb1aa3cf9" alt=""><figcaption></figcaption></figure>

# Pronouns

Understanding and automating pronouns in AllDrafts documents.

Every Person entity has a list of four pronouns associated: the subjective, objective, possessive, and reflexive forms. (We use possessive determiner, not possessive pronoun, because the former is what appears in contracts. So no 'hers' or 'theirs'.)

There is a Pronoun subfield available on any field, and the Format allows the choice between the four types for rendering. So, for example, if you create a field named Party and set the type to Person, you can also make fields for the Party.Pronoun subfield, and they will render with the appropriate pronoun once the Party is set to a Person, as specified by the format.

As a special case, the Party.Pronoun subfield does NOT render as Party.Pronoun when empty, but rather as the male and female pronoun pair, e.g. he/she or his/her, etc. (While the male and female pronoun pairs act as easy-to-recall shortcuts for the four types of pronouns, the system will always render the appropriate forms.)

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FVOiFkYzynUB0iYpeMOjo%2Fimage.png?alt=media&amp;token=805d6a5d-eb30-4e6d-95c0-b7e60addc73b" alt=""><figcaption><p>Unknown Party with four Party.Pronoun fields in indeterminate states.</p></figcaption></figure>

As a shortcut, and to avoid needing to remember the grammatical labels, you can type Party.he/she, Party.his/her, etc. to choose both the subfield and appropriate Format for type of pronoun (where 'Party' is the field name that will contain a Person).

## Example

If the Party field is set to the person Taylor Smith, whose pronouns are set to they/them/their/themself:

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FhdzasYO5t5za7J2y2wgM%2Fimage.png?alt=media&amp;token=8cfa7c0c-6917-4ebb-909b-c070c7ba3121" alt=""><figcaption></figcaption></figure>

Then the paragraph will render as:

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FU0Infz2lbenJyWiXBjU0%2Fimage.png?alt=media&amp;token=baeafc7d-bf7e-40b5-b22d-1e3104ce0495" alt=""><figcaption></figcaption></figure>

If Taylor Smith's pronouns are set to she/her/her/herself, the fields will render as:

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FsH0paiZ2hrHTeXXVelms%2Fimage.png?alt=media&amp;token=d3f3f6c7-0b47-4be4-8ac9-1b0e8fbb8441" alt=""><figcaption></figcaption></figure>

## Preset Pronoun Types

AllDrafts allows any four values to be set at the pronouns for a Person. If the first name of a person is strongly associated (based on government birth records) with the male or female gender, AllDrafts will guess the gender as a timesaving convenience. But any values can be set, and if only the first two are specified, the other four will be inferred.

The following sets are preloaded into the system:

* he/him/his/himself
* she/her/her/herself
* they/them/their/themself
* ze/hir/hirs/hirself
* xe/xem/xyr/xemself
* ey/em/eir/eirself
* fae/faer/faers/faerself
* per/per/pers/perself
* ve/ver/vis/verself
* vi/vir/virs/virself'

# Templates

Understanding templates and their relationship to documents.

Templates in AllDrafts are simply documents that default to opening as a new copy of themselves.

* Templates are starting points for new documents, and are designed so it's harder to accidentally 'edit the template'.
* Templates are distinguished by their dotted-line icons.

When you double-click a template in AllDrafts, it creates a new document, typically with the name "New *Template Name*".

If you wish to edit a template (and you are the author, or have permission), you can click the 'Edit template' link in the bottom right of the template description.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FbqrKH2JLNhyMf1v7yMZx%2Fimage.png?alt=media&amp;token=66ce4615-0f90-429a-a6b7-c64c57907e9f" alt=""><figcaption><p>A template item in the folder view.</p></figcaption></figure>

Templates can be stored in any folder.

A template does not need to be 'empty'. While an Employment Agreement, for example, might have fields for Employer and Employee, you might choose to have a template in which the Employer field has already been filled in with a specific company's information, speeding creation of new employment contracts for that client.

## Creating a Template from a Document

The easiest way to turn a document into a template is to click the status badge next to the document title and choose 'Template' from the dropdown list. This will convert the document you are editing into a template.

<figure><img src="https://3845041524-files.gitbook.io/~/files/v0/b/gitbook-x-prod.appspot.com/o/spaces%2FPNwSih6inFr2dhDQ2ypO%2Fuploads%2FVSUbRrai1pj7Qtjo6416%2Fimage.png?alt=media&amp;token=d7bfb672-d283-42c8-a8e9-8f5756d726f0" alt=""><figcaption><p>The status options for a document.</p></figcaption></figure>

Alternatively, you can use **File > Save copy as template** to create a new template document from a snapshot of the document you are editing. (The existing document will be saved and will remain, and a template with the same name created in the same folder, and you will be left in the new template document.)

# Document Types

Document types are a flexible, customizable hierarchy of labels that organize documents by type to enhance searching, formatting, and user interface.

The document type is set in the document details, available from **File > Details** when you're editing a document.

Document types are in a hierarchical format separated by double-hyphens. Examples include:

* Contract--Business--Operating Agreement
* Contract--Real Estate--Commercial Lease Agreement
* Contract--Employment--Full-time
* Letter--Employment--Offer Letter
* Note--Personal Loan--Promissory Note

At this time AllDrafts only exhibits specific behavior for top-level values; specifically 'Contract' and 'Letter' causes different styles to be used in formatting the document.

* Documents with a type beginning 'Letter' will use the [Letterhead](/alldrafts-documentation/letterhead) set for the folder.

The convention is to put the 'form of document' at the highest level, followed by the 'area of law', followed by any number of more specific sub-divisions, ending in a standard name for the 'type of document'.

It is a good practice to put a document type on each document, and AllDrafts has an auto-completer that will help suggest standard vocabulary for common document types.

In time this will allow AllDrafts to organize templates and search results, offer smarter comparative analysis, and help reduce errors by consulting documents of similar type and purpose.
